中文摘要: 2016年,在“中国制造2025”及德国“工业4.0”热潮的发酵中,以制造业为基业的德国中小型家族企业在华投资受到越来越多的关注。KESSEL AG是典型的德国家族企业,致力于建筑给排水产品的设计、研发、生产和销售。2008年,KESSEL凭借上海世博轴项目成功敲开中国市场的大门,在随后八年的发展历程中,面对中国广阔的市场前景,其却未能挣脱外资家族企业在华发展怪圈。在家族权利争斗同职业经理人混乱低效管理共同作用下,KESSEL错失在华市场的发展良机。直至2015年底,德国董事会搁置家族矛盾,投票选出中国新任经理人,KESSEL在华发展出现转机。本案例描绘了在母公司家族权力争斗及在华市场竞争加剧的内忧外患下,KESSEL在华子公司(后简称KESSEL CHINA)曲折艰辛的成长与变革历程,并在此过程中展示了家族权力争斗同企业良性发展之间不可调和的矛盾,体现了子公司的生存与发展同母公司家族矛盾及管理层的更迭密不可分。
英文摘要: 2016, with the booms of the idea of “made in China, 2025” and “Germany Industry 4.0”, the Germany manufacturing enterprises are attracted more attentions. KES AG, a typical German family enterprise, devotes to the design, research and development, manufacture and product distribution of building drainage products since it was founded in 1963 in Germany. 2008 with the installation of Shanghai Expo Axis project KES opened the door of drainage market of China. In the following eight years, KESSEL CHINA lost the golden chance for development because of the family struggle and inefficient management of professional manager. Till the end of 2015, the light of hope has appeared after that German headquarter laid aside the family inconsistency and voted the new general manager in China. This paper described the tracks of development and changes of KESSEL CHINA under the pressures of family struggle and market competition meanwhile showed the contradictions between the family inconsistency and the enterprise smooth development. The Analysis based on the relevant theories of the organization changes management, reveals that how the family conflict and organization changes infect the survival and development of branch enterprises.
